Voltatron Acquires Kurz Elektronik GmbH for Cash and New Shares Issued Through a Capital Increase in Kind; Revenue Guidance Raised, EBT Margin Lowered Due to Planned Investments and Integration Expenses
Fürth, Germany, 27 August 2026 – Voltatron AG (DE000A2E4LE9, the “Company”) today signed a share purchase agreement with Prettl Beteiligungs Holding GmbH for the acquisition of all shares in Kurz Elektronik GmbH (“Kurz Elektronik”), headquartered in Althengstett, Germany.
Kurz Elektronik is an Electronic Manufacturing Services (EMS) specialist focused on the development and production of customized electronic solutions for industrial applications and the household appliance market. Through the acquisition, Voltatron strengthens its value chain with additional engineering resources, medium- and high-volume manufacturing capacities, and specific process technologies, particularly in the areas of cable assembly, plastic injection molding, and toolmaking.
Kurz Elektronik operates a development and technology center at its headquarters in Althengstett, Germany, as well as a manufacturing facility in Lithuania. In fiscal year 2025, Kurz Elektronik generated revenue of approximately €14 million under German GAAP (HGB) and employed around 170 people.
Against the backdrop of the acquisition and the initial consolidation planned for September 1, 2026, the Management Board of Voltatron AG today adjusted its guidance for the continuing operations for fiscal year 2026. The full consolidation of Kurz Elektronik GmbH during the remaining four months of the fiscal year is expected to increase revenue from continuing operations to between €54 million and €57 million (previously: €47 million to €51 million). The operating gross profit margin is also expected to improve and is now forecast in a range of 41% to 47%, compared to the previous guidance of 37% to 44%.
The earnings of the Voltatron Group will be impacted by capital expenditures related to the acquisition of Kurz Elektronik GmbH, including investments in the ERP system, machinery and equipment, and process optimization initiatives at the acquired subsidiary. Accordingly, the factors underlying the adjustment of the earnings guidance are temporary and/or non-recurring in nature. Based on the assumptions of the Management Board, the EBITDA margin¹, both reported and adjusted, continues to be expected in a range of 7% to 10%.
At the EBT level, which fully reflects depreciation and amortization resulting from these investments, the aforementioned effects lead to a revised IFRS EBT margin² expectation of between -4% and -3%, compared with the previous expectation of -2%. The EBT margin adjusted for cash-effective effects arising from purchase price allocations is now expected to range between 0% and 1%, compared to the previous guidance of 3% to 4%.
The acquisition of 50% of the shares in Kurz Elektronik will be settled through a cash component. The remaining 50% will be contributed in exchange for the issuance of new shares of the Company through a capital increase in kind. Subject to the approval of the Supervisory Board, the Management Board of Voltatron AG intends to increase the Company’s share capital, through a partial utilization of the Authorized Capital 2025, from currently €23,015,016.00 by €468,259.00 to €23,483,275.00.
For this purpose, a total of 468,259 new no-par value bearer shares are to be issued against contributions in kind at an issue price of €1.00 per share. The contribution in kind consists of the transfer of the relevant shares in Kurz Elektronik GmbH by Prettl Beteiligungs Holding GmbH. The new shares will carry dividend rights from the beginning of fiscal year 2026.
1 EBITDA margin represents operating profit (EBIT) before depreciation, amortization, impairments and reversals of impairments on property, plant and equipment and intangible assets as a percentage of Group revenue. The adjusted EBITDA margin excludes only non-cash earnings effects resulting from purchase price allocations in connection with business combinations under IFRS 3, including any gain from a bargain purchase. This metric is intended to enhance the comparability of the Group’s operating profitability by excluding acquisition-related valuation effects.
2 EBT margin represents earnings before income taxes (EBT) as a percentage of Group revenue. To calculate the adjusted EBT margin, the non-cash effects from purchase price allocations under IFRS 3 included in adjusted EBITDA, as well as depreciation and amortization on property, plant and equipment and intangible assets acquired in business combinations and identified through purchase price allocations, are excluded. Accordingly, the metric reflects earnings development before income taxes excluding acquisition-related, non-operational valuation effects.
