OHB to offer shares at EUR 300.00 per share
  • OHB will issue up to 1,702,480 new shares; gross proceeds from the capital increase will therefore amount to up to EUR 510.7 million

OHB (ISIN: DE0005936124, Prime Standard), Europe's leading independent space prime, today announces a fixed price offering at EUR 300.00 per share for its planned capital increase and free float expansion. The new shares are to be placed with institutional investors in an international private placement by way of an accelerated bookbuilding which would run from June 22, 2026, until 2:00 PM CET on June 24, 2026. Approval of the prospectus by the German Federal Financial Supervisory Authority (Bafin) and its subsequent publication are currently expected today. The subsequent rights offering for existing minority shareholders will run from June 25 to July 8, 2026. The planned capital increase comprises two tranches of 1,605,388 and another up to 97,092 new shares. Trading of these new shares is expected to commence on June 26, 2026, and July 14, 2026, respectively.

How the transaction works
The transaction comprises two components: the first component is a private placement for institutional investors; the second is a rights offering for existing shareholders.

The major shareholders of OHB, the Fuchs family and Orchid Lux HoldCo S.à r.l. (“Orchid Lux”), an entity indirectly owned by entities advised by affiliates of KKR, have irrevocably waived the right to exercise their subscription rights. As a result, around 94.3% of the new shares are available for the private placement.

OHB’s new shares, together with existing shares being sold by KKR (via Orchid Lux), are to be placed with institutional investors in Germany and internationally through a bookbuilding process. As part of this private placement, 1,605,388 new shares from the capital increase and 858,500 existing shares from Orchid Lux’s holding will be offered. To cover potential overallotments, KKR (via Orchid Lux) will make up to 369,500 further existing shares available to the Stabilization Manager.

Following completion of the transaction, KKR will retain just over 20% of its current shareholding in OHB, meaning that it will remain an investor in OHB. The Fuchs family will not sell any shares and will remain the majority shareholder of OHB holding around 60% of the shares.

After the private placement, existing minority shareholders with subscription rights or purchasers of subscription rights may subscribe for new shares during the subscription period running from June 25 to July 8, 2026. The subscription price equals the placement price. The subscription ratio is 45:4: every 45 existing shares entitle the holder to subscribe for four new shares. In total, 5.70% of the new shares, equivalent to 97,092 shares, are reserved for this rights offering. Subscription rights will be tradeable on the Frankfurt Stock Exchange from June 25 to July 3, 2026, allowing shareholders who do not wish to subscribe to sell their rights in the market during this period.

Further transaction details
KKR (via Orchid Lux) has granted the Stabilization Manager a Greenshoe Option over up to 369,500 existing shares at the placement price, representing up to 15% of the total shares placed in the private placement. The option may be exercised within 30 calendar days of the end of the private placement, expected on June 24, 2026.

Including the existing shares sold by KKR (via Orchid Lux), the private placement will comprise a total of 2,833,388 shares. This corresponds to approximately EUR 850 million assuming full exercise of the Greenshoe Option, and 2,463,888 shares, or to approximately EUR 739.2 million assuming no exercise of the Greenshoe Option. Assuming a full exercise of the Greenshoe Option, the free float of the Company would increase from approximately 5.7% to 19.2%. Without the Greenshoe Option being exercised, the free float would amount to 17.5%. OHB has agreed to a lock-up period of 180 calendar days, while Fuchs Family and KKR entities have each agreed to a 90-day lock-up period, and shares owned by management including those beneficially owned by CEO and majority shareholder Marco Fuchs, are subject to a 365-day lock up period – all from the date of the first listing of the new shares, subject to certain exceptions.

Existing minority shareholders who exercise their subscription rights will maintain their original ownership in the Company. Minority shareholders who do not exercise their subscription rights will see their percentage ownership diluted by approximately 8.1%, assuming all new shares are issued.

Proceeds and use of funds
Assuming all new shares are placed at the price of EUR 300.00, the Company expects to receive gross proceeds of up to EUR 510.7 million and net proceeds of approximately EUR 490.2 million after transaction costs. OHB will receive all the proceeds from the issuance of the new shares. KKR (via Orchid Lux) will receive the proceeds from the sale of its existing shares separately.

OHB intends to deploy the net proceeds for the following purposes: The company will further industrialize, expand capacity, and pursue attractive M&A options as the European space market consolidates.

In addition, investments in launch vehicles and structures, as well as next-generation programs spanning lunar exploration, low-Earth orbit missions, and other applications shall be made possible.

Deutsche Bank, Goldman Sachs, J.P. Morgan, KKR Capital Markets and Rothschild & Co Redburn are acting as Joint Global Coordinators and Bookrunners, Berenberg, COMMERZBANK, Jefferies and UniCredit are acting as Joint Bookrunners.
