Financière Marjos - Annonce des résultats au titre de l'exercice 2025 et publication du Rapport Financier Annuel 2025

Point d'étape sur les réflexions en cours concernant sa stratégie à la suite de la prise de contrôle par Bit Digital Inc.

Paris, France – Financière Marjos (Euronext Paris : FINM) annonce ce jour ses résultats financiers au titre de l'exercice clos le 31 décembre 2025 et réitère son intention de repositionner sa stratégie, à la suite de la prise de contrôle par Bit Digital, Inc. (Nasdaq : BTBT) (« Bit Digital »).

Chiffres clés :

Financière Marjos enregistre une perte nette de 189.688 € au titre de l'exercice 2025, contre une perte nette de 209.365 € sur l'exercice 2024, reflétant une maîtrise rigoureuse des charges et une base opérationnelle stable. Les comptes annuels de la Société ont fait l'objet d'un audit et ont été certifiés sans réserve par son commissaire aux comptes.

Point sur la stratégie

Le 28 novembre 2025, Bit Digital a acquis le contrôle de Financière Marjos via l'acquisition de l'intégralité des actions composant le capital social de Bit Digital Europe Holding, l'associé commandité de la Société, lequel détient 15,92 % de son capital social et 15,71 % de ses droits de vote, et l'acquisition d'une participation directe de la Société à hauteur de 9,08 % de son capital social (représentant 8,96 % de ses droits de vote), portant ainsi la participation directe et indirecte de Bit Digital à 24,99 % du capital social et 24,67 % des droits de vote de Financière Marjos.

Dans son communiqué de presse en date du 28 novembre 2025, Financière Marjos a annoncé envisager de mettre en œuvre une nouvelle stratégie de développement pour la Société, laquelle était susceptible d'inclure une stratégie de trésorerie d'actifs numériques centrée sur l'Ethereum et/ou toute autre stratégie. Depuis cette annonce, les conditions de marché applicables à la trésorerie d'actifs numériques se sont significativement dégradées sur le plan mondial, de sorte qu'une stratégie de trésorerie d'actifs numériques centrée sur l'Ethereum n'apparait pas être, à ce stade, une stratégie viable ou souhaitable pour Financière Marjos.

En conséquence, Financière Marjos a mené une revue stratégique approfondie afin de déterminer les meilleures opportunités de développement pour la Société. Cette revue a notamment donné lieu à des échanges avec des intermédiaires ainsi qu'à une analyse des conditions de marché et des opportunités sur des marchés verticaux présentant des perspectives de synergies ou d'alignement avec les compétences et l'expertise de Bit Digital.

A ce jour, la Gérance envisage de finaliser cette revue stratégique et d'annoncer la nouvelle orientation stratégique de Financière Marjos dans les prochains mois.

Financière Marjos Announces 2025 Results and ongoing Strategic Review Following Bit Digital Acquisition

Paris, France – Financière Marjos (Euronext Paris: FINM) today announced its financial results for the year ended December 31, 2025 and reiterated its intention of strategic repositioning , following the acquisition of control by Bit Digital (Nasdaq: BTBT) (“Bit Digital”).

Financial Summary

Financière Marjos reported a net loss of €189,688 for fiscal year 2025, compared to a net loss of €209,365 in 2024, reflecting disciplined cost control and a stable operating base. The Company's financial statements were audited and certified without qualification.

Strategic Update

On November 28, 2025, Bit Digital, Inc. acquired control of Financière Marjos through the acquisition of Bit Digital Europe Holding, the Company's general partner, holding 15.92% of the share capital and 15.71% of the voting rights, along with a direct 9.08% equity stake (representing 8.96% of the voting rights), resulting in a combined ownership of 24.99% of the share capital and 24.67% of the voting rights.

In its press release dated 28 November 2025, Financière Marjos previously announced its intention to adopt a new business strategy which was expected to include Digital Assets Treasury (“DAT”) for Ethereum and/or other strategies. Since that announcement, the market has seen a degradation of conditions for DAT globally, such that an Ethereum DAT is presently unlikely to be a viable or desirable direction for Financière Marjos. Accordingly, Financière Marjos has been engaged in a comprehensive strategic review to determine its new strategic direction. This has included discussions with intermediaries and analysis of market conditions and opportunities within specific industry verticals broadly aligned with Bit Digital's existing capabilities and expertise. At this time, Management expects to conclude its strategic review and announce the new strategic focus of Financière Marjos within the coming months.
