EDF announces its intention to exercise its option to redeem hybrid bonds
EDF launches a partial tender offer on an outstanding series of hybrid notes

EDF (BBB+ stable S&P / Baa1 stable Moody’s / BBB+ stable Fitch) announces its intention to exercise its option to redeem the hybrid bonds (the “Hybrid Bonds”) issued on 15 July 2020 for a nominal amount of €850,000,000 (ISIN FR0013534351). They would be redeemed on 15 December 2026, corresponding to their First Call Date as defined in the Terms and Conditions of the Bonds contained in the Prospectus dated 11 September 2020.

Furthermore, EDF is launching tender offer (the “Offer to Purchase”) to purchase a part of its €1,250,000,000 reset perpetual subordinated social notes with a first redemption at the option of EDF on 1st December 2027 (ISIN: FR0014003S56) of which €1,250,000,000 is currently outstanding, which are admitted to trading on the regulated market of Euronext Paris (the “Targeted Notes”). The Offer to Purchase will be capped to the an amount equal to nominal amount of the New Issue launched today1 less the total nominal amount of the Hybrid Bonds (€850,000,000).

In connection with the Offer to Purchase, EDF will retain discretion as to the amount of offers accepted in respect of the Targeted Notes.

The result of the Offer to Purchase will be announced on 15 September 2026 (subject to change as a result of any extension, withdrawal, termination or amendment of the Offer to Purchase).
