Amprion welcomes RWE’s entry into M31

RWE is increasing its stake in Amprion to an indirect majority holding supporting the upcoming major investments in the German transmission grid and Amprion’s growth. In this context, RWE is acquiring shares in M31 Beteiligungsgesellschaft mbH & Co Energie KG, the majority shareholder of Amprion. 

By taking a stake in M31, RWE is acquiring an indirect 35 percent interest in Amprion GmbH. RWE is already invested in Amprion with an equivalent of 20 percent via RWE Alkaios Holding GmbH, a joint venture between RWE AG and Apollo Global Management. This transaction increases the total indirect shareholding of RWE in the transmission system operator to 55 percent. Amprion’s direct ownership structure remains unchanged: M31 continues to hold 74.9 percent.The remaining 25.1 percent stay with RWE Alkaios Holding GmbH. Amprion will continue to be accounted for as a pure at-equity investment by RWE.

Strong commitment to grid expansion

Amprion remains an independent transmission system operator

Amprion’s status as an Independent Transmission Operator (ITO) remains unaffected by the transaction. An ITO is an independent transmission system operator that is organised and regulated – legally, organisationally and in its decision-making – in such a way that non-discriminatory grid operation is ensured, as with a fully independent company. This framework is laid down by law.

RWE’s commitment supports the extensive investment programme of one of Europe’s leading transmission system operators. Amprion plans to invest around 42 billion euros in expanding its grid by 2030 on the path to climate neutrality.
