Nebius Group Proposes $4.50 Billion Convertible Notes Offering
On August 19, 2026, Nebius Group N.V., an AI cloud company listed on NASDAQ, announced a proposed private offering of convertible senior notes totaling $4.50 billion. The offering comprises two series: $2.75 billion due in 2030 and $1.75 billion due in 2034. Qualified institutional buyers will participate under Rule 144A of the Securities Act of 1933. An additional $675 million may be offered if the initial buyers exercise their option.
The generated funds aim to support Nebius Group’s growth, focusing on data center expansion, AI cloud development, and other corporate purposes. Concurrently, the company plans exchange transactions for its existing notes due in 2029 and 2031.
The notes, bearing interest and convertible under certain conditions, will mature in 2030 and 2034. Redemption is possible post-2028 if conditions are met. Key terms like interest rates will be decided during pricing.
