Voltatron AG Acquires KOMITEC, Expands Production and Revenue Outlook

Voltatron AG has finalized an acquisition agreement for KOMITEC electronics GmbH, based in Zwönitz, Germany. KOMITEC, a specialized provider of electronic manufacturing services, reported €17.5 million in revenue for the 2024 fiscal year. The acquisition will enhance Voltatron’s customer base and manufacturing capacity.

The transaction will be settled through cash and issuance of new shares. Two-thirds of the purchase price will be in cash, while the remainder will be through a capital increase by issuing 627,719 new shares. The new shares will be exclusively subscribed by KOMITEC's shareholders.

Assuming full consolidation by January 1, 2026, Voltatron expects revenues between €47 million and €51 million for the year. The operating gross margin is projected to be 37-44%, with adjusted EBITDA margins of 7-10%. Meanwhile, the EBT margin is anticipated to adjust between 3% and 4%.
