Threshold Crossings and Declaration of Intent at VANTIVA

On October 31, 2025, significant changes occurred in the share capital of VANTIVA. CommScope Technologies LLC announced that it had crossed several thresholds, no longer holding any VANTIVA shares. Simultaneously, Arris Holding Company LLC acquired a controlling stake of 27.47% of the shares, representing 134,704,669 shares.

This reorganization results from an intra-group contribution between CommScope Technologies and Arris Holding, both under the umbrella of CommScope Holding Company, Inc. Although Arris Holding now holds a significant stake, no further acquisitions or takeovers are planned for the coming months. No changes to strategy are anticipated, and no modifications will be made to the VANTIVA board of directors.
