United Terra Enterprises PLC Finalizes USD 150 Million Senior Notes

United Terra Enterprises PLC has announced the successful closing of USD 150 million in senior notes due 2030. These notes, issued on September 10, 2025, bear an interest of 11.5% per annum, with payments scheduled every six months. The issuance is part of a private offering exempt from U.S. Securities Act registration.

The notes were distributed outside the United States, exclusively to non-U.S. persons, and not registered under any other jurisdiction's securities laws. They will be traded electronically through The Depository Trust Company, Euroclear, and Clearstream Banking. UTP has no current plans to list the notes on an exchange, and they are unrated by any agency.
