Uber Launches Takeover Offer for Delivery Hero

Uber Technologies has released its Offer Document for a public takeover bid for Delivery Hero. The German Federal Financial Supervisory Authority (Bafin) approved the document, enabling Uber to move forward with its acquisition plans. The offer, extending from August 27 to November 5, 2026, proposes EUR 41.50 per share for Delivery Hero’s shareholders, a significant premium of around 108% over the company's closing share price on May 8, 2026.

Uber, currently holding 24.77% of Delivery Hero’s equity, aims to double its market reach for its mobility and delivery services. The company intends to expand from 34 to 58 markets upon successful completion of the takeover. As part of the undertaking, Uber will not enter into a Domination and Profit Transfer Agreement for three years following the acquisition.

The offer requires a minimum acceptance of 50% plus one share of Delivery Hero’s share capital, excluding treasury shares. The completion of the takeover deal is anticipated for the second half of 2027.
