Tintina Mines Announces Shareholder Voting Results

Tintina Mines Limited reported the successful approval of all resolutions during its annual general and special meeting of shareholders held virtually on August 21, 2026. These resolutions included the Minority Interest Acquisition, Control Person, and Change of Management, essential for the release of escrowed proceeds of the company’s C$91 million private placement. The meeting saw the participation of 142,102,904 common shares, representing approximately 94.96% of the issued shares.

Key decisions made include the election of directors, re-appointment of Stern & Lovrics LLP as auditors, and ratification of the company's 10% stock option plan. The Minority Interest Acquisition involves acquiring a 26.25% stake in Andean Belt Resources SpA, necessitating "minority approval" as per regulations. Additionally, shareholders approved the designation of GMC SPV Equity 01 Inc. as a new "Control Person".

The board of directors will be restructured with new appointments set to take effect post-satisfaction of the remaining escrow release conditions, anticipated by August 24, 2026. The board will soon include Mr. Mathieu Gignac and others, while Mr. Claude Dufresne will assume the role of CEO.
