AMF Approves InVivo Group's Buy-Out Offer for TERACT Shares
On April 20, 2026, the Autorité des marchés financiers (AMF) approved InVivo Group's public buy-out offer followed by a squeeze-out for TERACT shares and BSAR B. The offer is set at €3.12 per share and €0.0039 per BSAR B, reflecting premiums of up to 290% compared to prior market prices. An independent expert deemed the offer fair for all shareholders and BSAR B holders.
The offer period is from April 22 to May 13, 2026. InVivo Group, holding 94.77% of TERACT’s share capital, aims to acquire all TERACT shares and BSAR B tendered to the offer. TERACT's Board endorses the offer, aligning with investment firm Bpifrance’s intention to tender its shares.
InVivo plans a squeeze-out if minority shares remain below 10% post-offer. Documents regarding the offer are accessible on TERACT's and AMF's websites. The offer is open to international holders, where compliant with local laws.
