Soitec Successfully Raises €500 Million Through ORNANE Bonds
Soitec, a leader in semiconductor materials, has announced the successful placement of €500 million in cash-settled and convertible bonds, known as ORNANEs, due in September 2033. This strategic financial move aims to support the company's corporate goals, including refinancing debt and investing in organic growth. The offering was exclusively made to qualified investors, reflecting strong confidence in Soitec's position in the AI infrastructure sector through its Photonics-SOI technologies.
The bonds, with a fixed interest rate of 0.5% per annum, will provide Soitec with enhanced financial flexibility. Each bond has a denomination of €100,000 and offers an option for conversion into shares at a premium of 55% over the reference share price. Stakeholders were given the facility to convert these bonds into shares or cash, ensuring minimal dilution for existing shareholders.
Albin Jacquemont, CFO of Soitec, highlighted the favorable market conditions and investor confidence in the company's technological advancements. The company adheres to strict legal guidelines, ensuring the offering remains within qualified investor frameworks, excluding retail investors.
