SoftwareOne's Final Push in Crayon Acquisition Offer

SoftwareOne Holding AG announces the nearing conclusion of its voluntary share and cash offer for Crayon, with the final offer period expiring on 6 May 2025. The offer, first launched on 14 March 2025, proposes a cash payment of NOK 69 and 0.8233 newly issued SoftwareOne shares per Crayon share. The extension of this offer is not anticipated.

The terms of the offer, which can be accepted strictly via the prospectus, remain unchanged. SoftwareOne has waived the minimum acceptance condition, pushing towards a potential conclusion of the deal in June 2025, subject to regulatory approvals. The company highlights that advisory support on the financial and legal fronts is being managed by Jefferies, Pareto Securities, and Walder Wyss, among others.

Both SoftwareOne and Crayon continue to operate worldwide, in the software and IT sectors, aiming for enhanced synergy and market growth post-acquisition.
