SoftwareOne Acquires Remaining Crayon Shares
SoftwareOne Holding AG has completed a compulsory acquisition of the remainder of Crayon shares. This action allows the company to claim full ownership of Crayon, acquiring 82,200,948 shares, equivalent to about 91.77% of Crayon's share capital and voting rights.
Following the resolution by the Board of Directors, effective after Euronext Oslo Børs' trading closure, the compulsory acquisition was executed in compliance with Norwegian corporate and securities laws. The acquisition price per share stood at NOK 144.7834, matching the previous voluntary offer. Completion of the settlement is anticipated by 11 July 2025.
Subsequently, SoftwareOne plans to delist Crayon's shares from the Euronext Oslo Børs, with further announcements pending. This strategic move enhances SoftwareOne's market position in software and cloud solutions.
