Schneider Electric Launches Takeover Bid for Shelly Group

Schneider Electric, a leader in energy technology, has announced a voluntary public takeover offer for Shelly Group. This offer, supported by Shelly's founders, aims to acquire 95% of the company's share capital. The proposed all-cash offer is set at €70 per share, amounting to a total transaction value of €1.2 billion, and represents a significant premium over the company's recent trading prices.

Shelly Group, known for its IoT and smart building solutions, has garnered a positive response from its founders, Dimitar Dimitrov and Svetlin Todorov. Together, they own about 57% of Shelly's shares and have conditionally agreed to sell. The acquisition is expected to bolster Schneider Electric's capabilities in home energy management and interoperability.

The transaction remains subject to approval from the Bulgarian regulator and other customary regulatory consents, with a targeted closing by Q1 2027.
