Schneider Electric Completes €6.0 Billion Capital Increase
Schneider Electric has announced the successful completion of a €6.0 billion capital increase to help finance its acquisition of PTC Inc. The company issued 25 million new ordinary shares at €240 each. This price represents a near 5% discount from the previous closing price of the company’s shares. The increased capital will partially finance the acquisition, alongside debt and potential bridge facilities.
The capital raise did not include shareholders' preferential subscription rights, and all shares were placed through an accelerated bookbuilding process targeted at qualified investors. The acquisition of PTC Inc. is expected to be completed by the third quarter of 2027, pending regulatory approvals.
The shares will be traded on Euronext Paris, maintaining the same ISIN code as existing shares. Settlement is slated for 22 October 2026.
