Samsung Biologics' Tender Offer for PolyPeptide Group

Samsung Biologics has made a tender offer to acquire PolyPeptide Group AG for CHF 44.31 per share, valuing PolyPeptide's equity at approximately CHF 1.46 billion. This offer represents a 40% premium over PolyPeptide's last closing share price before acquisition rumors and aims to enhance PolyPeptide's resources and growth trajectory.

The PolyPeptide Board recommends shareholders accept the offer, supported by an independent fairness opinion. Draupnir Holding B.V., PolyPeptide's largest shareholder, has committed to tender its shares into the offer. The completion is expected towards the end of 2026, subject to regulatory approvals and a minimum acceptance rate of 66⅔%.

PolyPeptide reported strong preliminary results for the first half of 2026, with revenue growth of 41.6% and an improved EBITDA margin of 20.7%. The growth was driven primarily by its metabolics segment and large pharmaceutical customers, marking a significant stride in its operational capabilities.
