RWE Announces Equity Measure via Accelerated Bookbuilding
On June 22, 2026, RWE Aktiengesellschaft's executive board, with supervisory board consent, sanctioned an equity measure involving up to 10% of its share capital through an accelerated bookbuilding process. This process is targeting institutional investors with a private placement strategy. The initiative includes issuing up to 74,384,121 shares, split between 36,143,952 new shares and 38,240,169 treasury shares, comprising 4.9% and 5.1% of share capital respectively.
Cornerstone investors Qatar Investment Authority and Norges Bank Investment Management have committed EUR 1 billion, equivalent to 25% of the anticipated equity measure volume. The new shares, earmarked for listing on Frankfurt and Duesseldorf Stock Exchanges, are set for trading without a prospectus on June 24, 2026.
The equity measure aims to finance RWE's increased stake to 55% in Amprion GmbH, with a total purchase price of approximately EUR 3.6 billion. All related transactions should finalize by Q3 2026, subject to regulatory approvals.
