Rubis has announced a proposal to transform the company into a joint-stock company with both a Management Board and a Supervisory Board. This change signifies another step in the succession and management transition initiated by its founders. The Supervisory Board has endorsed the proposal, seeing it as beneficial for both the company and its shareholders.

The conversion aims to maintain management continuity, with Jean-Christian Bergeron proposed as Chairman of the Management Board, joined by Marc Jacquot and Fred Royer. It promises to enhance the Group's stock market profile by simplifying its legal structure, thus attracting a wider base of investors.

Additionally, the conversion would offer more strategic and financial flexibility, allowing Rubis to pursue growth opportunities through acquisitions. Pending approval from the Autorité des marchés financiers and the shareholders’ meeting on December 9, 2026, the proposal indicates no mandatory tender offer is required.
