QIAGEN N.V. Issues Convertible Bonds Outside the US

QIAGEN N.V. has announced the launch of a non-US offering of net share settled convertible bonds. The bonds, due in 2032, have a total value of USD 750 million and are aimed at institutional investors outside the US, Canada, Australia, Japan, and South Africa. The bonds are convertible into approximately 11.2 million shares, representing 5.1% of the company's current share capital.

The bonds will carry an interest rate between 1.75% and 2.25% per annum, payable semi-annually. The bonds can be redeemed at par on maturity unless converted or repurchased earlier. Investors have an option to require early redemption on the fifth anniversary. The company intends to use the proceeds for general corporate purposes, including refinancing existing debt.

The expected settlement date for the bonds is September 4, 2025, with a listing application on the Frankfurt Stock Exchange's Open Market.
