Warburg Pincus Proposes Delisting of PSI Software SE
PSI Software SE has entered a delisting agreement with Warburg Pincus, who announced plans for a public delisting acquisition offer. This offer targets all outstanding shares of PSI and will provide cash equal to the six-month average domestic stock price. Both the Management and Supervisory Boards support the proposal, viewing the move as aligned with PSI’s long-term goals outside public capital markets.
This delisting is part of a strategic partnership formed with Warburg Pincus and E.ON to foster sustainable growth of PSI. Following approvals and prior takeover offers by Warburg Pincus, PSI's capital increase in mid-2026 marked the early steps towards this strategy.
The offer is unconditional and open for four weeks, aiming to complete before PSI’s shares are delisted from the Frankfurt Stock Exchange. Post-delisting, liquidity for PSI shares may decrease significantly.
