Predictiv AI Moves Forward with Shift Technologies and HouseStack Acquisition

Predictiv AI Inc. has entered an amended letter of intent to acquire Shift Technologies Canada Inc. and HouseStack Holdings Inc. This business combination aims to make Shift and HouseStack wholly-owned subsidiaries of Predictiv AI. The company intends for this transaction to be a reverse-takeover.

The acquisition requires Predictiv AI's shares to be delisted from the TSX Venture Exchange and listed on the Canadian Securities Exchange (CSE). The completion of the transaction is subject to CSE's conditional approval, financial consolidation, and securing equity financing. The transaction includes a cash payment for Suman Pushparajah, and shares exchange based on certain conditions.

The equity financing seeks a minimum of $1.5 million through subscription receipts. CEO Suman Pushparajah, along with a new board, will lead the resulting entity. The partnership promises substantial developments in fleet and asset management, as well as real estate technology.
