OCI N.V. Acknowledges Court Decision Against Inquiry

OCI N.V. ("OCI") has announced that the Enterprise Chamber of the Amsterdam Court of Appeal has rejected a petition from VEB and other shareholders, opting not to conduct an inquiry into OCI's affairs. The Court has also decided that VEB and Smits will be responsible for the joint and several payment of the administrative costs amounting to approximately €18,000, covering expenses incurred by OCI, NNS, the Independent Directors, and the Court-appointed Directors.

The company confirmed that the NNS offer and the Extraordinary General Meeting planned for October 30, 2026, will proceed as previously scheduled. Shareholders are advised to consult the offer memorandum and related documentation for comprehensive details.
