NNS Holding's All-Cash Offer for OCI Shares Commences
NNS Holding (Cyprus) Limited announced the launch of a voluntary all-cash offer for all outstanding shares of OCI N.V. at EUR 4.10 per share. The Netherlands Authority for the Financial Markets has approved the offer memorandum. The OCI Board supports the offer, highlighting its fairness and recommending it to shareholders. NNS and Nassef Sawiris, holding significant OCI shares, aim to resolve issues hindering the Rembrandt II project by providing a cash exit option.
Should the offer become unconditional, a post-closing acceptance period will follow, allowing further tendering of shares. NNS's initiative reflects a commitment to address stakeholder interests and streamline OCI's strategic objectives.
