NFON AG Plans Merger with Subsidiary Botario GmbH
NFON AG has announced its intention to merge with its wholly-owned subsidiary, Botario GmbH, based in Bremen. This merger will be conducted through absorption, acquiring all assets of Botario GmbH without liquidation. Since NFON AG owns all the shares in Botario GmbH, neither a general meeting resolution nor a merger audit is required under the German Transformation Act.
Shareholders holding a significant portion of NFON AG’s capital can request a meeting to discuss the merger. The draft agreement and financial reports from the last three years will be accessible on NFON's website for a month starting May 29, 2026.
