Nemetschek SE to Acquire HCSS and Expand Global Reach
Nemetschek SE is acquiring Heavy Construction Systems Specialists (HCSS) from Thoma Bravo to strengthen its position in the construction technology sector. HCSS, based in Texas, is a prominent provider of software for infrastructure and heavy civil construction in North America. This acquisition aims to enhance Nemetschek's Build & Construct segment, which already includes top brands like Bluebeam and Nevaris.
HCSS generated approximately $215 million in revenue in 2025, with a 21% ARR growth and a 40% EBITDA margin. The transaction retains Nemetschek's financial flexibility, enabling further growth and innovation, and supports its ambition to expand its market reach to USD 12 billion by 2028.
The collaboration is set to deepen AI capabilities and diversify its software portfolio across all construction lifecycle phases. The deal, facilitated by J.P. Morgan and expected to close in late 2026, will also see Thoma Bravo retaining a minority stake in the Build & Construct segment.
