Nagarro Endorses Persistent's Takeover Offer

On August 14, 2026, Nagarro's Management and Supervisory Boards recommended shareholders accept Persistent Systems Limited's voluntary public takeover offer. The offer proposes EUR 81.00 per Nagarro share, signifying a 140% premium over the previous stock exchange price. This decision is detailed in a joint statement under Germany's Securities Acquisition and Takeover Act.

The offer from Galaxy Germany Holding SE, a subsidiary of Persistent, aligns with the strategic collaboration agreed upon in the Business Combination Agreement. The deal emphasizes continued partnership with Nagarro's current management and workforce. Shareholders have until September 17, 2026, to respond, with conditions including merger control approvals applicable.

Post-settlement, a planned delisting from the Frankfurt Stock Exchange is anticipated. The takeover already secures 20% shares through Lantano Beteiligungen GmbH. Advisors for the process include J.P. Morgan and Freshfields.
