Legrand France finalizes the full acquisition of Cogelec SA
Legrand France announces the implementation of a mandatory delisting of Cogelec SA shares. Following a simplified public tender offer, Legrand holds 97.92% of the share capital and 98.70% of the voting rights of Cogelec. This delisting concerns the remaining 184,835 shares, purchased at a price of €29 per share. This action follows the AMF's (French Financial Markets Authority) compliance notice of December 4, 2025, guaranteeing the fairness of the price offered.
The mandatory delisting will be effective January 21, 2026. Société Générale is acting on behalf of Legrand in this transaction. Compensation for unclaimed shares will be held by Société Générale for ten years and then transferred to the Caisse des Dépôts. Rightful claimants to the shares may claim their compensation subject to the thirty-year statute of limitations.
