HERITAGE AND COMMERCE: Reduction of Share Capital Announced

PATRIMOINE ET COMMERCE announced a reduction in its share capital following a share buyback program. On December 18, 2025, management cancelled 97,505 repurchased shares, representing approximately 0.61% of its total share capital. This transaction reduces the share capital to €158,749,530, divided into 15,874,953 shares with a par value of €10 each.

This process follows two share buyback programs. The first, conducted from November 13, 2023 to November 13, 2024, resulted in the acquisition of 49,064 shares. The second, from November 14, 2024 to November 14, 2025, added 48,441 shares to the total repurchased.

These shares were cancelled as part of the resolutions adopted at the annual general meetings. Patrimoine & Commerce continues to focus on growing its real estate portfolio in France.
