Galantas Amends Dragones Share Purchase Agreement
Galantas Gold Corporation, alongside its subsidiary Compañía Minera OXI SpA, has modified the share purchase agreement with Luis Catril, a previous Compañía Minera e Inmobiliaria Dragones SpA shareholder. The amendment adjusts cash payment timelines. Previously scheduled for December 31, 2029, a payment of US$14 million has been adjusted to US$5 million paid today, with US$9 million due by April 25, 2027. The total consideration stands at US$31 million, with US$22 million remaining. Galantas remains a guarantor and joint debtor for these obligations.
OXI retains full Dragones ownership, which controls the Andacollo Gold Project. Under the adjusted schedule, payments to Dragones shareholders include US$3 million by December 31, 2026, and the process concludes by December 31, 2028. Partial payments may be forfeited if deadlines are missed. Luis Catril acknowledges receipt of common shares, resolving potential disputes.
This amendment is a 'related party transaction' under MI 61-101 as Catril holds over 10% of Galantas shares. The company's directors, supported by their Adviser, deem the agreement fair and reasonable for shareholders.
