Transition Evergreen in receivership to restructure its financial situation

Transition Evergreen, listed on Euronext Paris, has announced the opening of receivership proceedings. This decision, issued by the Paris Economic Activities Court on October 14, 2025, aims to restructure its financial situation and ensure business continuity.

A judicial administrator, Maître Joanna Rousselet, and a judicial representative, Maître Frédérique Lévy, have been appointed. A six-month observation period has been established to assess the development of the situation.

In parallel, an amendment to the agreement with the main creditor Zencap Asset Management was signed, and the head office will be relocated to reduce costs as of October 24, 2025. A General Meeting is scheduled for November 21, 2025. The share listing remains suspended.
