ENGIE raises €3 billion for the acquisition of UK Power Networks
ENGIE has announced the successful completion of its €3 billion capital increase through a private share placement. This transaction aims to partially finance the acquisition of UK Power Networks. The subscription price for the new shares was set at €28, reflecting a 3.2% discount to the last closing price.
The funds raised will help maintain ENGIE's strong credit rating. The acquisition is expected to be finalized by mid-2026, supported by a bridge loan from Bank of America and BNP Paribas. The French State, a 23.6% shareholder, did not participate in the capital increase.
The anticipated dilution for a shareholder holding 1% of the initial capital is illustrated by a decrease in their stake to approximately 0.96%. The transaction is being carried out without a prospectus approved by the AMF (French Financial Markets Authority) and is reserved for qualified investors.
