Core Silver Completes Acquisition of Arcus Development Group
Core Silver Corp. has concluded its acquisition of Arcus Development Group Inc., effective September 15, 2026. This acquisition was executed via a court-approved plan under the Business Corporations Act of British Columbia. The deal was formalized through an arrangement agreement dated July 9, 2026, and received approval from both Arcus shareholders and the Supreme Court of British Columbia.
As per the agreement, Arcus shareholders received one Core Silver share for each Arcus share they held. Consequently, Core Silver issued 21,221,140 shares, making former Arcus shareholders hold 39.2% of Core Silver's shares. Arcus is now a wholly-owned subsidiary of Core Silver, and its shares are set to be delisted from the TSX Venture Exchange.
Darryl Jones, previously interim CEO of Arcus, joins Core Silver's board. No substantial changes in Core Silver’s board are anticipated. For Arcus shareholders, details on exchanging shares were provided in the Arcus Circular.
