Core Critical Metals Corp. Announces Spin-Out of Key Projects
Core Critical Metals Corp. (CCMC) unveiled a strategic plan to spin out its Senneville and Timmins Nickel Projects into separate entities. Through an Arrangement Agreement, CCMC plans to allocate the Senneville Project to its subsidiary Spinco1 and the Timmins Nickel Project to Spinco2. Shareholders will receive new shares in each of the three entities, broadening their investment reach.
The Senneville Project includes 151 claims in Québec, while the Timmins Nickel Project encompasses 467 claims in Ontario. This arrangement aims to create focused companies, each with dedicated resources and strategies, enhancing shareholder value and project development. Approval from shareholders, the Supreme Court of British Columbia, and the TSX Venture Exchange are required for completion.
The board of directors supports the Arrangement, viewing it as fair and in shareholders' best interest. The finalization is anticipated for early October 2026, pending all approvals. Full details are outlined in the management information circular available on SEDAR+.
