Legrand Acquires Majority Stake in Cogelec
On October 7, 2025, Legrand France, a subsidiary of Legrand, completed the acquisition of Cogelec Développement. This acquisition includes 5,347,065 Cogelec shares, representing 60.09% of Cogelec's capital and 75.07% of its voting rights. This move follows the initial agreement signed on July 31, 2025, between Legrand France and stakeholders of Cogelec Développement, including managers and Raise Investissement.
Legrand France plans to file a mandatory simplified tender offer to buy the remaining shares of Cogelec at 29 euros per share. If certain thresholds are met following this tender offer, Legrand France may initiate a squeeze-out procedure to acquire all remaining shares under applicable laws.
In response to this acquisition, Cogelec's board of directors has been restructured, now featuring four Legrand representatives. Roger Leclerc remains Chairman and CEO until a successor is appointed by the end of 2025.
