Capgemini Shareholders Approve Key Resolutions at 2026 Meeting

On May 20, 2026, Capgemini SE held its Shareholders' Meeting at Pavillon Vendôme, Paris. Shareholders approved all resolutions proposed by the Board, including a dividend distribution of €3.40 per share for the 2025 fiscal year, payable from June 4, 2026.

The meeting also saw the renewal of terms for Mr. Paul Hermelin and Ms. Maria Ferraro and the cooptation of Ms. Lila Tretikov. Mr. Paul Hermelin was reappointed as Chairman, while Mr. Patrick Pouyanné was appointed Lead Independent Director.

New Board members Ms. Véronique Weill and Mr. Luc Rémont were approved as independent directors. Currently, 50% of the board's composition are women, aligning with future French legislation requirements.

Additionally, shareholder approvals included compensation packages and the renewal of statutory auditors, ensuring financial oversight continuity.
