CANEX Metals to Issue Shares for Gold Basin Acquisition and Updates on Legal Proceedings

CANEX Metals Inc. has announced a pivotal move in its acquisition strategy, deciding to settle the bulk of dissenting Gold Basin shareholders in CANEX shares rather than cash. This step marks a near completion of acquiring Gold Basin Resources Corp. The issuance of approximately 17.6 million CANEX shares is set to finalize shareholder obligations. This will increase CANEX's total shares outstanding to about 247.1 million, with dissenting shareholders holding a 7% stake.

Concurrently, CANEX has fortified its litigation against Helix Resources Ltd. Amendments have been made to a legal petition concerning the validity of the Gold Basin - Helix Farm-In Agreement. New civil claims have also been filed against former Gold Basin leaders Michael Povey and Charles Straw, alleging breaches of fiduciary duties and undisclosed dealings.

The legal proceedings aim to annul the Helix Farm-In Agreement and address conflicts of interest. Meanwhile, CANEX is progressing with exploration permits for its Arizona and British Columbia properties.
