Branicks Group AG's Extraordinary Meeting: Key Proposal Rejected
On October 9, 2026, Branicks Group AG, a leading German real estate company, held an extraordinary general meeting virtually. Three out of four resolutions proposed by the management were approved. However, the proposal regarding consultancy agreements with BLACKLAKE Management Partners GmbH and MDC Matthias Danne Consulting GmbH was not accepted. Consequently, supervisory board candidates Dr. Matthias Danne and Dr. Johannes Conradi are hesitant to accept their positions, casting doubt on the proposed restructuring concept announced previously.
The rejection threatens Branicks Group AG's restructuring plans, which included adopting a two-tier LuxCo structure. Under agenda item 1, shareholders supported transferring significant assets to LuxCo entities. Additionally, a decision to reduce the Supervisory Board to three members was approved under agenda item 2. Although Dr. Conradi and Dr. Danne were elected to the Supervisory Board under item 3, they remain uncertain about accepting their roles.
The company underscores that without consensus with key creditors, its future remains uncertain. Branicks plans to keep stakeholders informed on developments in compliance with statutory obligations.
