Bocana Resources Corp. Plans Acquisition by London Gold LLC

Bocana Resources Corp. has announced a transaction where London Gold LLC will acquire all shares of Bocana through a new entity, NewCo, expected to be listed on Nasdaq. The definitive term sheet was executed on July 14, 2026. This deal aims to enhance mining development and create long-term shareholder value.

The transaction values Bocana at USD 25 million, with payment in cash and NewCo stock. London Gold will provide an additional USD 1.23 million to Bocana for project due diligence. Bocana has granted London Gold a 90-day exclusivity period for negotiations.

Completion is contingent on various approvals and due diligence. Some Bocana management members are expected to join NewCo. The process requires shareholder and regulatory approvals, with further updates pending.
