Biotest AG Cancels Extraordinary General Meeting
Biotest AG announced the cancellation of its extraordinary general meeting initially scheduled for 28 October 2025. The decision follows the withdrawal of a convocation request by its majority shareholder, Grifols S.A., based in Barcelona, Spain. The request, submitted on 1 August 2025, aimed at convening a gathering to deliberate on corporate structural changes.
Grifols S.A. has introduced a new request to transform Biotest AG's legal form from a stock corporation to a partnership limited by shares. This proposal will be reviewed by Biotest's Management Board, which has informed their Supervisory Board about this latest development. The Management Board will make a decision based on the German Stock Corporation Act.
If deemed appropriate, the company will organize another extraordinary general meeting and release further details. This strategic pivot could potentially reshape Biotest AG's operational framework under Grifols S.A.'s guidance, given its extensive influence in the company.
