Roxmore Resources Finalizes Acquisition of Taura Gold

Roxmore Resources Inc. has officially acquired all common shares of Taura Gold Inc. through a court-approved plan of arrangement. The shares of Roxmore will start trading under the new symbol "RM" on the Canadian Securities Exchange from November 20, 2025. John Dorward, CEO of Roxmore, highlighted this as a pivotal moment for the company, with prospects for the Converse Gold Project looking promising.

The deal, effective from 12:01 a.m. Vancouver time on November 20, 2025, grants each Taura shareholder 0.2 Roxmore shares for each Taura share held. Post-transaction, Roxmore shareholders hold approximately 91.5% of the company, while Taura shareholders hold the remaining 8.5%.

Taura's shares will be delisted from the TSX Venture Exchange by November 21, 2025, and the company will seek to no longer be a reporting issuer in Canada. Legal assistance for the transaction was provided by Cassels Brock & Blackwell LLP and McMillan LLP.
