Atos Receives Non-Binding Offer from French State for Advanced Computing Unit

Atos has entered exclusive negotiations with the French State for the acquisition of its Advanced Computing activities within the BDS division. The proposed enterprise value stands at €500 million, with potential earn-outs raising it to €625 million. The Advanced Computing unit, encompassing High-Performance and Quantum Computing alongside Business Computing and AI, generated approximately €570 million in revenue in 2023.

The exclusivity period extends until May 31, 2025, with the potential signing of a Share Purchase Agreement contingent on customary approvals. An initial payment of €150 million is anticipated upon agreement signing.

Concurrently, Atos will pursue the sale of its Mission-Critical Systems and Cybersecurity Products, contributing to its financial restructuring. The company's financial leverage by 2027 is expected to range between 1.8x and 2.1x, influenced by a €233 million rights issue.
