American Critical Minerals Secures $1 Million Through Private Placement

American Critical Minerals Corp. has successfully closed a non-brokered private placement, raising $1 million. The Vancouver-based company issued 5,000,000 units at $0.20 per unit. Each unit includes one common share and a half-share purchase warrant, exercisable at $0.30 until September 2027.

The capital will support the Green River Project, particularly in lithium and bromine exploration, and cover regulatory fees and corporate marketing. Certain brokerage firms, assisting in the placement, received $47,400 and 237,000 warrants.

Canadian laws under National Instrument 45-106 governed the offering, excluding Québec residents. Insiders, who participated by acquiring 100,000 units, were involved under certain exemptions from formal shareholder requirements due to the transaction constituting a related party transaction.
