Technical delay in AgroGeneration's simplified takeover bid
On August 1, 2025, Novaagro Ukraine LLC, AgroGeneration's majority shareholder, announced a delay in filing its simplified tender offer for AgroGeneration shares. This transaction, mandated by the AMF since December 2024, concerns 95,502,387 shares, representing 43.10% of AgroGeneration's share capital. The offer was initially scheduled for the end of July 2025 at a price of €0.033 per share.
Despite the efforts of Novaagro and its partners, technical difficulties prevented the filing on time, in particular due to the availability of funds by the bank financing the operation, confirmed for the week of August 11, 2025. As a result, the filing of the offer is postponed to the week of August 18, 2025. Novaagro and AgroGeneration undertake to keep the market informed of progress.
