ABYxZAL Holding Initiates Squeeze-Out for ABOUT YOU Minority Shareholders

Hamburg-based ABYxZAL Holding AG has formally requested a squeeze-out of the minority shareholders of ABOUT YOU Holding SE. The request includes a cash compensation set at EUR 6.50 per share, a figure currently under review by a court-appointed expert auditor. ABYxZAL Holding, a subsidiary of Zalando SE, owns about 91.45% of ABOUT YOU's share capital, making it the majority shareholder.

The squeeze-out process involves transferring minority shares to ABYxZAL Holding, following a merger expected to be approved at an extraordinary general meeting on September 22, 2025. The merger aims to absorb ABOUT YOU into ABYxZAL Holding, as per legal provisions. The merger agreement conclusion is scheduled for August 12, 2025.
