TOMORROW FOCUS AG decides on a capital increase to facilitate the
acquisition of further shares in HolidayCheck AG
Munich, Germany, 18 November 2008 - The managing board of TOMORROW FOCUS AG
today decided, with supervisory board approval, to implement a capital
increase from the authorised capital. The company's share capital has been
increased by EUR 4,265,650 from EUR 42,856,475 to EUR 47,122,125 through
the issue of 4,265,650 new notional no-par-value shares against cash
contributions. Shareholders do not have any subscription rights on these
shares. The new shares will be offered to Hubert Burda Media Holding GmbH &
Co. Kommanditgesellschaft, Offenburg, Germany, at an issue price of EUR
2.80 per share, which will provide the company with subscription proceeds
of around EUR 11.9 million.
The additional capital will be used to acquire further shares in
HolidayCheck AG, Bottighofen, Switzerland in the spring and to consolidate
the equity base. TOMORROW FOCUS AG currently holds 80 percent of the shares
in HolidayCheck AG.
There is full entitlement to dividends on the shares in the 2008 financial
year.
