COMBINED GENERAL MEETING OF APRIL 28TH, 2016 AVAILABILITY OF DOCUMENTS IN
PREPARATION FOR THE GENERAL MEETING
The Company's shareholders are called to a Combined General Meeting on Thursday
April 28th, 2016 at 2.30 p.m. at Paris Expo, Espace Grande Arche, la Grande
Arche, 92044 Paris-La Défense - France.
The notice of meeting serving as convocation, containing the agenda and the
draft resolutions as well as the terms and conditions on how to attend and to
vote at this General Meeting, was published in the Bulletin des Annonces
Légales et Obligatoires (BALO) on February 26th, 2016.
The information and documents relating to the General Meeting will be made
available to shareholders in accordance with applicable legal and regulatory
provisions, and may, in particular, be consulted on the Company's website.
The General Meeting will be asked in particular to:
* approve the allocation of a dividend of EUR 0.65 per share, with an
ex-dividend date on May 10th, 2016 and a payment date on May 12th, 2016 ;
* approve the renewal of the mandate of Mr Gérard Mestrallet, Chairman of the
Board of Directors, Mr Jean-Louis Chaussade, Chief Executive Officer, Mrs
Delphine Ernotte Cunci and Mr Isidro Fainé Casas, the ratification of the
cooptations of Mrs Judith Hartmann and Mr Pierre Mongin and the appointments
of Mrs Miriem Bensalah Chaqroun and Mrs Belén Garijo as independent
Directors and of Mr Guillaume Thivolle as Director representing employee
* amend the Company's bylaws, on one side, to change the Company name of "SUEZ
ENVIRONNEMENT COMPANY" to "SUEZ" and, on the other side, to raise the age
limit for serving as Chairman of the Board of Directors from 68 to 70 years
* renew various financial authorizations granted by previous general meetings,
in particular to authorize the Board of Directors to implement capital
increases reserved for employees and to grant performance shares.
